Dandan Fei, a partner at Guantao's Shenzhen office, led the legal work for a Chinese manufacturer's factory project in Vietnam. She organised the China-side team and coordinated Vietnamese licensed counsel to establish a working framework spanning market entry, project implementation and continuing operations.

From investment entry to continuing operations

An overseas manufacturing project brings together investment structuring, construction, supply-chain, employment and operating requirements. Differences in approval practice, enforcement and dispute-resolution procedure require the legal work to be integrated with the commercial timetable.

  1. Map the investment, corporate establishment and factory-development route
  2. Review project agreements and operating contracts and establish internal approval arrangements
  3. Identify recurring operational risks and design response and dispute-resolution procedures
  4. Coordinate Vietnamese counsel on local-law opinions and procedural matters

Clear responsibility across jurisdictions

Fei was responsible for overall project organisation, transaction and contract arrangements, consolidated risk review and support for management decisions. Vietnamese licensed counsel handled local-law opinions and local procedure. This allocation allowed the project to maintain a single workstream while preserving the professional responsibilities of each jurisdiction.

Fei's practice includes cross-border investment, overseas operating compliance, corporate governance and dispute resolution. She has advised manufacturing businesses on factory projects in Vietnam and Malaysia and regularly coordinates advisers across jurisdictions.
