Dandan Fei

Dandan Fei is a partner in the Shenzhen office of Guantao Law Firm. She graduated from Southwest University of Political Science and Law, Peking University and Queen Mary University of London, obtaining a Bachelor of Laws (LLB), a Master of Business Administration (MBA) and a Master of Laws in Commercial and Corporate Law (LLM). She serves as Deputy Director of the Guangdong-Hong Kong-Macao-Taiwan Liaison Office of the Chinese Society of Behavioral Law and Executive Secretary-General of the Shenzhen Virtual University Technology Transfer Promotion Association, and has been recognised by Guangdong and Anhui Provinces as a Leading Foreign-Related Lawyer.

She has worked at the Nanshan District People’s Procuratorate in Shenzhen, the General Office of the CPC Nanshan District Committee and Nanshan District Government, the General Office of the Shenzhen Municipal People’s Government, and Shenzhen Boyue Capital Management Co., Ltd., successively serving as Public Prosecutor, Deputy Section Chief, Deputy Division Director and Deputy CEO. She has more than 20 years of experience across judicial bodies, Party and government bodies, state-owned capital investment management and legal practice.

She entered Southwest University of Political Science and Law at the age of 16. After completing her undergraduate degree in 2002, she joined the Nanshan District People’s Procuratorate in Shenzhen and later served as a public prosecutor, undertaking case review, evidence analysis, the application of law and related general administrative work. During that period, she was named one of Shenzhen’s Top Ten Procuratorial Secretaries (ranked first).

In 2005, she joined the General Office of the CPC Nanshan District Committee and Nanshan District Government as Deputy Section Chief, participating in policy research, the review of regulatory documents, the coordination of major district matters and general government affairs. Focusing on the priorities of the District Committee and District Government, she conducted research and analysis on policy and legal issues and participated in interdepartmental communication and coordination, supporting decision-making on major district matters and the implementation of work plans.

In 2010, she transferred to the General Office of the Shenzhen Municipal People’s Government as Deputy Director of the Economic Affairs Division, during which time she also served as a government lawyer. She was extensively involved in research, coordination and implementation relating to the city’s economic performance, industrial development, technological innovation and major industrial projects. Her responsibilities included research, assessment, drafting and review of industrial policies and government regulatory documents, providing policy and legal support for decisions on major economic matters. She participated in work relating to the development of the Qianhai Shenzhen-Hong Kong Modern Service Industry Cooperation Zone, as well as the research and formulation of Shenzhen’s strategic emerging industry and future industry plans and supporting policies. She also participated in policy assessment, interdepartmental coordination and implementation for major Shenzhen industrial projects, including China Star Optoelectronics Technology, SMIC and the China National GeneBank.

In 2019, she helped establish Shenzhen Boyue Capital Management Co., Ltd. and served as its Deputy CEO. Boyue Capital is a second-tier enterprise within Shenzhen’s municipal state-owned enterprise system, with a controlling stake held by Shum Yip Group, an enterprise directly supervised by the Shenzhen Municipal State-owned Assets Supervision and Administration Commission, and a minority stake held by Shenzhen Investment Holdings. It focuses on cross-border investment and RMB international investment and lending. The company manages the Guangdong-Hong Kong-Macao Greater Bay Area’s first RMB international investment and lending fund, established under the leadership of the Shenzhen Municipal Government with approval from the People’s Bank of China and the National Development and Reform Commission. With a total investment scale of RMB 10.5 billion, the fund focuses on cross-border investment in strategic emerging industries and the international development of enterprises.

At Boyue Capital, she oversaw the company’s business management and investment operations, with responsibility for investment decision-making, legal compliance and risk management. She led the development of the RMB international investment and lending fund’s Hong Kong platform, the establishment of offshore funds and cross-border investment business. Her responsibilities covered investment structuring, project screening and assessment, due diligence, fund and transaction documents, corporate governance, outbound transfers of onshore funds, overseas investment regulation and project execution. She coordinated and advanced domestic and cross-border investment transactions, including the acquisition of European biopharmaceutical pipeline assets, investment in a mainland biopharmaceutical project of a Hong Kong-listed company, the establishment of an industrial M&A fund by a state-owned venture capital institution and related investments, and financing in Hong Kong for an artificial intelligence company, as well as cooperation with overseas fund management institutions.

Since entering full-time legal practice, she has served as Director of the International Business Department at Anhui Qingheqing Law Firm. She led the development of the department and was responsible for coordinating the firm’s cross-border legal services, developing its professional team and coordinating cooperation with overseas lawyers. Qingheqing is a full-service law firm based in Anhui, led by Yin Bangding, who was then President of the Anhui Provincial Lawyers Association. During her tenure, she provided cross-border legal services to listed companies, including Wuhu Token Sciences Co., Ltd. (300088.SZ), technology and manufacturing companies, and state-owned enterprises. Her work covered overseas investment, cross-border transactions, overseas compliance and international commercial disputes, and she coordinated lawyers in China and overseas on the relevant projects.

She is currently a partner in the Shenzhen office of Guantao Law Firm. Headquartered in Beijing, Guantao is a nationwide full-service law firm with more than 2,000 lawyers and offices in major cities across mainland China, as well as Hong Kong, New York and Sydney, among other locations. Drawing on Guantao’s professional resources in China and overseas, she places particular emphasis on coordination between legal services in Shenzhen and Hong Kong. Her practice focuses on investment, M&A and capital markets; public policy and government affairs; overseas expansion and cross-border transactions; corporate governance and compliance; and dispute resolution.
